1. Acceptance

By creating an account or using EzTranscribe, the user agrees to these Terms and to the Privacy Policy; organizational users confirm authority to bind the organization.

2. Service Description

EzTranscribe enables registered accounts to upload audio for machine transcription and translation; processing is performed via OpenAI APIs subject to OpenAI's applicable terms and policies alongside our DPA.

3. User Obligations

• Use the service lawfully; do not upload illegal or rights-infringing content; comply with OpenAI's usage policies for processed content.
• Ownership and license: Users retain ownership of their content and grant EzTranscribe a limited license to process content solely to provide the services; no model training by EzTranscribe; OpenAI training controls/policies apply per plan and settings.
• Review requirement: Outputs may contain errors; suitability must be evaluated before reliance, especially in professional or high-risk contexts.

4. Account and Security

Maintain account security and promptly report suspected unauthorized use; EzTranscribe may suspend or terminate accounts to protect the service or for policy violations.

5. Intellectual Property

EzTranscribe software, UI, and brand assets are owned by EzTranscribe or licensors; a limited, revocable, non-exclusive license is granted to access the service subject to compliance.

6. Third-Party Services

Transcription/translation relies on OpenAI; use is subject to OpenAI usage and privacy policies; EzTranscribe is not responsible for changes, availability, or performance of third-party services.

7. Disclaimers

The service and outputs are provided "as is" and "as available," without warranties of accuracy, fitness for a particular purpose, or non-infringement; model outputs may be incomplete, inaccurate, or inappropriate.

8. Limitation of Liability

To the maximum extent permitted by law, EzTranscribe disclaims liability for indirect, incidental, special, consequential, or punitive damages, and for damages arising from mistranslation, misinterpretation, or reliance on outputs; overall liability is capped at the fees paid in the preceding 12 months, except where prohibited by law.

9. Indemnity

Users agree to indemnify and hold EzTranscribe harmless from claims arising from provided content, unlawful use, or breach of these Terms.

10. Termination

Users may delete accounts at any time; upon termination, access ceases and data is deleted per the Privacy Policy; EzTranscribe may suspend or terminate for violations or risks to the service.

11. Governing Law and Venue

These terms are governed by applicable law; mandatory consumer protections remain unaffected.

12. Changes to Terms

Material changes will be notified with effective dates; continued use after changes indicates acceptance.
